12. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of Morocco and USA. Any dispute arising from it shall first be referred to amicable negotiations. Should negotiations fail, both parties agree to submit the dispute to a neutral mediator in Wyoming before resorting to litigation. The courts of  shall have exclusive jurisdiction over any dispute not resolved through mediation.
